Terms of Service

Latest Update: May 28, 2026

Welcome to iCreat.ai! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", or "you") and the icreat.ai team ("Company", "we", "us", or "our"). These Terms govern your access to, browsing, and use of the website located at https://www.icreat.ai/ (including any subdomains and sections, collectively the "Website"), as well as the digital assets, API channels, generation platforms, and services rendered through the Website (collectively, the "Services").

By accessing, browsing, or utilizing our Website or Services, you express your full and unreserved acceptance to be bound by these Terms. If you do not agree to these Terms or have any objection to any part thereof, you must immediately cease all access and use of our Website and Services. The Company may modify these Terms at any time, and we recommend reviewing them on a regular basis. The English version is the only legally binding version of this agreement.

1. Definitions

To ensure maximum clarity, the following terms used throughout this agreement shall have the meanings defined below:

TermDefinition
AI Products & Tools The specialized artificial intelligence-driven tools, generators, neural network models, and algorithms hosted under the "AI Tools" category on the Website.
AI Tools Credits The digital resource credits allocated to a User's account, utilized and consumed strictly and exclusively within the "AI Tools" category.
AI Tools Subscription A recurring pricing tier (e.g., Basic, Premium, Ultra) purchased by a User enabling premium access and credit allocations solely for the "AI Tools" category.
API Services The cloud-hosted developer interfaces and application programming interfaces provided by the Company for model integrations.
API USD Balance The separate, dedicated pre-funded balance calculated and displayed in US Dollars (USD), used solely for API consumption. Once you pay, the balance cannot be refunded.
Inputs & Outputs Inputs refer to text prompts, parameters, or data uploaded by a User; Outputs refer to the creative assets or synthetic data generated by the Services.

2. Scope of Services and License Rights

The Company operates a multi-faceted digital ecosystem providing:

  • Visual Content Assets: Premium graphical assets, templates, illustrations, patterns, and icons.
  • AI Tools Marketplace: Web-interface AI Products enabling automated visual design orchestration.
  • Developer API Gateways: Direct cloud-hosted API access for developer and commercial application runs.

The Company hereby grants you a personal, worldwide, non-transferable, revocable, non-exclusive, and non-sublicensable limited license to use the Website and Services solely in accordance with these Terms.

3. Account Registration and Credentials Security

Accessing advanced parameters, subscribing to plans, or utilizing API channels requires you to establish a secure account. You may register using a valid email address or associate authorized external profiles (such as Google or GitHub). You retain strict, exclusive responsibility for safeguarding all authentication strings, credentials, and cryptographic API secret keys. Any requests made via your account or API keys will be conclusively attributed to you.

4. Separate Fee Structures: AI Tools vs. API Services

The Company operates two entirely separate and independent payment and billing systems on the platform. Credits, balances, and subscriptions cannot be transferred, exchanged, or co-mingled between these two distinct categories.

4.1 AI Tools Category (Subscriptions & Credits)

  • Category Restriction: Membership Subscriptions (including Basic, Premium, Ultra tiers) and AI Tools Credits apply strictly and exclusively to workflows under the "AI Tools" classification. They have no validity or utility for API calls.
  • Billing Cycle & Reset: Subscriptions are billed in advance on a recurring periodic basis. Available subscription credits reset completely at the initiation of each corresponding billing term. Unused credits within any given billing period do not roll over to the next period and are automatically forfeited.
  • Extra Credits: Depending on eligibility, users may purchase packages of Extra Credits for AI Tools. Unused Extra Credits may carry over only as long as the user maintains an active premium AI Tools Subscription.

4.2 API Services Category (Separate USD Top-Up Balance)

  • Pay-As-You-Go Valuation: API Services do not utilize web subscriptions or standard AI Tools Credits. Instead, API usage is tracked, calculated, and billed based on raw consumption metrics specified on the Website.
  • USD Account Display: To utilize API Services, users must pre-fund a completely separate wallet via a dedicated top-up mechanism. This balance is displayed, held, and calculated solely in US Dollars (USD).
  • Deduction Rule: Each successful API interface call automatically deducts the corresponding dollar amount from the user's API USD Balance. If the API USD Balance falls to zero or goes negative, API access will be immediately suspended until an additional top-up is processed.
  • Non-Refundability: Once purchased, API top-up funds and balances are non-refundable, non-transferable, and cannot be converted into AI Tools credits or subscriptions.

5. Intellectual Property Rights

All comprehensive architectural frameworks, web interface designs, raw source code repositories, software platforms, visual animations, logos, trademark systems, database schemas, and proprietary generation models are the exclusive intellectual property of the Company or its third-party licensors. No implicitly derived ownership rights are granted under this contractual instrument.

6. Direct and Strict Content Licensing Restrictions

When utilizing any downloaded Company Content, Collaborator Content, or assets obtained via the interface, you are bound by strict usage limitations. You explicitly agree that you shall NOT:

  • Conduct collective distribution, shared network access, or include downloaded assets inside any general asset catalog, stock library, or digital archive.
  • Sublicense, resell, rent, or transfer original or slightly altered visual content assets directly to third parties.
  • Incorporate any content asset as the core prominent structural element on physical consumer items or printed merchandise manufactured for open commercial resale where the asset is not substantially transformed into a completely distinct artistic manifestation.
  • Process, input, or exploit any digital assets, caption information, accompanying metadata, or architectural outputs for machine learning optimization, algorithmic training, or neural network model fine-tuning workflows.
  • Apply downloaded assets toward individual biometric profiling or target recognition technology configurations.

7. Restrictive and Acceptable Use Policy

You covenant to interact with the platform in absolute good faith and strict lawful execution. The deployment of automated parsing systems, web-scraping utilities, robots, spiders, or batch-downloading technologies to download content, capture outputs, scrape platform structures, or artificially manipulate download frequencies and click actions is fundamentally prohibited. Furthermore, you shall not use the Services or generate Outputs to:

  1. Orchestrate, facilitate, or promote violent extremism, domestic or international terror operations, or generate malicious or targeted hate speech targeting protected classes.
  2. Exploit, endanger, or abuse minors, or formulate child exploitative materials.
  3. Render explicit non-consensual sexual visualizations, deepfakes, or unauthorized illegal adult materials.
  4. Distribute or propagate harmful software packages, cyber-security vulnerabilities, worms, trojans, or Harmful Code designed to interrupt or corrupt system integrity.
  5. Execute reverse engineering, software de-compilation, or structural cracking workflows upon our proprietary generation models or system interfaces.

8. Collaborators and Third-Party Implementations

The platform incorporates external structural integrations, third-party foundation models, and hosting systems managed by independent partners or contributors (Collaborator Content). The Company serves strictly as an intermediary facility for these integrations. We do not maintain real-time monitoring over all third-party creations, and do not provide absolute warranties regarding their originality, legal standing, uninterrupted uptime, or performance metrics.

9. Complete Disclaimers and Limitations of Liability

THE WEBSITE, PROPRIETARY MODELS, API CHANNELS, DIGITAL ASSETS, AND CORE SERVICES ARE DELIVERED IN AN "AS IS" AND "AS AVAILABLE" CAPACITY WITHOUT EXPRESS OR IMPLIED WARRANTIES OF ANY MANNER. THE COMPANY DOES NOT ASSURE SYSTEM ACCURACY, ABSOLUTE RELIABILITY, UNINTERRUPTED AVAILABILITY, OR FITNESS FOR A PARTICULAR PRIVATE APPLICATION. REASONABLE PLATFORM ADJUSTMENTS, SYSTEM UPDATES, AND DOWNTIME MAY TRANSPIRE WITHOUT PRIOR NOTIFICATION.

EXCEPT FOR CASES OF PROVEN WILFUL MISCONDUCT OR WHERE PROHIBITED BY MANDATORY LOCAL LAWS, THE COMPANY SHALL NOT BE ACCOUNTABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE DEGRADATION, OR OPERATIONAL INTERRUPTION. IN NO EVENT WILL THE COMPANY'S AGGREGATE LIABILITY EXCEED THE LOWER OF THE TOTAL AMOUNTS PAID TO THE COMPANY BY THE CUSTOMER IN THE 6-MONTH PERIOD PRECEDING THE CLAIM, OR US$100.

10. Governing Law and Support Operations

Any clarification, dispute resolution protocols, or legal interpretation arising out of this contract shall be governed by the laws of Hong Kong, without giving effect to regional conflict of law frameworks. Any dispute in connection with these Terms shall be resolved exclusively by the competent Courts of Hong Kong.
